1. Introduction

Welcome to Proso AI. These Terms and Conditions("Terms") govern your use of our websites, platforms, applications,products, and services, including all associated payment processing andinteractions.

These Terms apply when you access or use services offered byPROSO AI TECHNOLOGIES PRIVATE LIMITED or PROSO AI India PRIVATELIMITED ("Company", "we", "us", or"our") and are specifically applicable to all customers locatedwithin India.

If you are accessing Proso AI services outside India, yourservice provider may be one of our affiliated international entities

• United States: Proso AI Inc
• United Kingdom: Proso AI Technologies Ltd
• Australia: Proso AI Pty Ltd

By accessing, purchasing, or using our services, you confirmthat you have read, understood, and agree to be legally bound by these Terms.

2. Eligibility

To access our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872
• Use the services in compliance with all applicable laws and regulations

3. Payment Terms

3.1 Billing Entity

All payments processed within India are billed by:

• PROSO AI TECHNOLOGIES PRIVATE LIMITED or
• PROSO AI India PRIVATE LIMITED

These transactions adhere to the Reserve Bank of India(RBI) regulations and relevant Indian financial and taxation laws.

3.2 Accepted Payment Methods

We accept the following payment methods:

• Credit/Debit Cards (Visa, MasterCard, RuPay, etc.)
• UPI (Unified Payments Interface)
• Net Banking
• Digital Wallets (as permitted by RBI guidelines)
• Other methods enabled through our payment gateway partners

3.3 Transaction Currency

All payments in India are processed in Indian Rupees(INR). Applicable GST is included as per Indian taxation laws.

3.4 Invoicing and Taxation

Invoices issued will include:

• The GSTIN of the billing legal entity
• Relevant SAC (Services Accounting Code) or HSN code, as applicable
• Customer billing details as submitted during purchase or registration

4. Refund and Cancellation Policy

Payments are generally non-refundable unlessspecified otherwise. Exceptions include:

• Duplicate payment
• Payment failure due to technical reasons
• Unauthorized transactions

Refund Process:

• Requests must be submitted in writing to support@proso.ai
• Processing time: 7 to 10 business days
• Subject to payment gateway policies and banking turnaround times

5. User Obligations

As a user of Proso AI services, you agree to:

• Provide accurate and up-to-date information during account creation and billing
• Use the platform only for lawful purposes
• Comply with all applicable Indian laws, including the Information Technology Act, 2000, and its amendments
• Not engage in any fraudulent, illegal, or unauthorized activities while using our services

6. Data Privacy

Your personal data is collected, processed, and stored inaccordance with:

• Our Privacy Policy
• The Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011

We are committed to safeguarding your data and using it onlyfor legitimate purposes as described in our privacy documentation.

7. Limitation of Liability

To the maximum extent permitted by applicable law,Proso AI is not liable for:

• Indirect, incidental, special, or consequential damages
• Losses due to misuse, service interruption, data loss, or unauthorized access
• Inability to access services due to user-side errors or third-party service disruptions

8. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Anylegal disputes or claims arising from the use of Proso AI services will fallunder the exclusive jurisdiction of the courts in Delhi, UP, India.

9. International Disclosures

Proso AI operates internationally through the followingentities:

• Proso AI Inc – Delaware, USA
• Proso AI Technologies Ltd – UK
• Proso AI Pty Ltd – Australia

These affiliated entities may deliver or support servicesoutside India. However, for users in India:

• The sole contracting and billing entity is PROSO AI TECHNOLOGIES PRIVATE LIMITED or PROSO AI India PRIVATE LIMITED,
• Subject to Indian law, RBI guidelines, and local compliance
